recuut Early Access Terms
27 October 2026
1. Parties and acceptance
- recuut means HighStakes Ventures Studio B.V., KVK 42125698, Lucellestraat 19-3, 1055 HT Amsterdam, the Netherlands. Contact: [email protected].
- Customer is the business identified in the account. An authorized representative must expressly accept these Terms. These Terms are for business customers.
2. Early access
- recuut is an early-access product. It has not been fully tested and may contain defects. Customer uses it with knowledge of that status.
- Customer may use available features for its business within the supported environments, providers, networks, assets and stated limits. Only payment features enabled for the applicable environment may be used.
- Use with money or digital assets can result in failed or incorrect payments, irreversible transfers and partial or total loss of funds. Customer understands and accepts these risks, subject to Section 7.
3. Payments
- recuut provides software for payment requirements and transaction records. Customer authorizes recuut to relay validly authorized signed payment instructions to external infrastructure for submission and settlement. No custody, asset conversion or bank payout service is included.
- Check the payment environment, network, asset, amount and receiving wallet before submitting an instruction.
- Customer must obtain valid payer authorization. Settlement instructions must stay within that authorization. A new debit requires new valid authorization; attaching a wallet does not authorize a transfer.
- Transactions can fail, be delayed or become irreversible. Status information does not guarantee final funds. Public blockchain records may be permanent and globally visible.
4. Customer responsibilities
- Customer is the seller or provider of its digital resources. Customer handles lawful content, pricing, delivery, payer terms, required consumer rights, taxes, support, refunds and disputes. These Terms do not bind the payer.
- Keep account details accurate, restrict user permissions, protect credentials and report suspected compromise promptly. Customer is responsible for activity caused by its acts or security failures, except to the extent caused by recuut's fault.
- Do not use recuut for unlawful activity, fraud, sanctions evasion, infringement, malware or unauthorized payments. Do not bypass access controls, payment requirements or service limits. Keep independent transaction records and backups.
- Customer must reasonably cooperate with investigations of suspected unauthorized payments or security incidents involving its account and provide relevant records that it may lawfully share.
- Customer must cooperate with reasonable know-your-business checks required by recuut or its service providers before and during use with money or digital assets with monetary value. Provide accurate information and documents for those checks and keep them up to date.
5. Data, confidentiality and ownership
- Customer keeps ownership of its data and permits recuut and its service providers to use it only to operate, secure and support the service or comply with law. Customer must have the necessary rights and lawful basis. Customer must give payers the privacy information required by law before submitting their data and obtain any legally required permissions.
- Personal data is handled under recuut's Privacy Policy. Processing personal data on Customer's behalf requires a separate data processing agreement accepted by both parties before that processing starts.
- Do not submit card numbers, wallet private keys, seed phrases or sensitive personal data. Submit account credentials only through their designated authentication fields.
- Each party must protect the other's confidential information and use it only to provide or use the service. Disclosure is limited to people bound by confidentiality who need it, or as required by law.
- Information is excluded if public without breach, previously known without restriction, independently developed, or lawfully received from a third party without confidentiality duties.
- Protection lasts one year after Customer's use ends; trade secrets remain protected while secret.
- recuut keeps its software and intellectual property. Customer receives a limited right to use the software under these Terms. recuut may use feedback, subject to confidentiality and data restrictions.
6. Fees and ending access
- recuut charges 3% of the gross incoming payment amount received through the service, plus USD 0.003 per incoming payment received. Failed attempts and retries are not charged. The fee applies to money and digital assets with monetary value, and excludes testnet transactions. Fees exclude VAT and similar taxes that recuut is required to charge. Fees are invoiced monthly in USD and payable within 30 days of the invoice date.
- Either party may end access at any time. recuut may suspend access immediately for security, unlawful use, provider requirements or material breach.
- Fees charged under this agreement are non-refundable, except where law requires a refund.
- After termination, use must stop. Data may be deleted subject to legal retention and backup cycles. Outstanding payment, confidentiality and ownership obligations and Section 7 survive. Ending access does not reverse completed transactions or cancel obligations already incurred.
7. Alpha risk and liability
- The software is provided "as is" and "as available", without warranties to the extent law permits. It may fail, change or be withdrawn. No uptime, support, compatibility or data-retention commitment applies.
- To the extent law permits, recuut excludes indirect or consequential loss and loss of profit, revenue, business or data.
- To the extent law permits, recuut is not liable for loss caused by independent provider or network failures, except to the extent caused by recuut's fault.
- recuut's total aggregate liability arising out of or in connection with this agreement, whether in contract, tort or otherwise, is capped at the fees Customer paid to recuut under this agreement in the twelve months before the first event giving rise to liability. Payer funds, taxes and provider or network charges are not recuut fees. The cap can be zero if no fees were paid.
- Customer indemnifies recuut for third-party claims caused by Customer's resources, data or breach, except to the extent caused by recuut's fault. This covers court awards, settlements Customer approves and reasonable defence costs.
- recuut must promptly notify Customer and allow it to control the defence. No settlement may admit fault or impose obligations on recuut without its consent.
- Customer's payment and indemnity obligations are uncapped.
- No exclusion or cap applies where mandatory law prohibits it, including intentional misconduct or deliberate recklessness by recuut's management.
8. General
- The version Customer accepts applies to its use. A later website version does not change Customer's agreement without Customer's express acceptance.
- Contract notices to recuut must be emailed to [email protected]. Notices to Customer must be emailed to its current account email. Notices take effect when received.
- These Terms govern Customer's use of the service. If a clause is unenforceable, the rest remains effective. Dutch law applies. Amsterdam courts have exclusive jurisdiction, subject to mandatory law.
